Preamble
Proposal: To authorise the Board to make changes to the FISTF Statutes, as outlined below, to take effect immediately following the 2024 Congress.
Background:
The FISTF Statutes can only be changed at a FISTF Congress or Extraordinary Congress. It is established practice to review the Statutes prior to each Congress to determine whether amendments are required.
The Board has reviewed the Statutes and is proposing the following changes, many of which are a result of discussions and decisions made at the 2023 AGM.
h) Article 24.2 – amend per Resolution 7 from the 2023 AGM to create a position known as ‘financial representative’ representing the Board in France (if the President and/or Treasurer are not French citizens
At the 2023 AGM, members agreed to a proposal to authorise the Board to prepare revisions to the FISTF Statutes, for consideration at the FISTF Congress to be held in 2024, to introduce the notion of the President’s legal/financial representative authorised to have access to the FISTF bank account.
The background to this proposal is outlined in detail in the document prepared for the 2023 AGM. In summary, however, with the untimely death of the former FISTF Treasurer/Finance Director Fred Vulpes in early 2023, is became apparent that changes are required to FISTF’s banking arrangements to allow better access to and management of FISTF funds.
The Board has looked at options to create a new bank account with easier access. One option is to open a new account in France, which is the official address of FISTF. However, to do so is very difficult without a French accountable FISTF association/Board member. Currently, there are no elected members of the FISTF Board who are French. It is therefore proposed to create in the FISTF Statutes the position of the President’s financial representative in France, by adding a new Article 24.2, as follows:
(EN) A position known as ‘Financial Representative’, shall be filled and will have the authority to represent the FISTF Board in France if the President and/or Treasurer are not French citizens. This position has the authority to act on behalf of the Board to establish back accounts in French institutions. Legal oversight will remain with the FISTF Board, which may nominate/revoke a FISTF financial representative at a minuted Board meeting without the need for an Annual General Meeting
